Shore Metal Fabricators LLC

1. Scope of Services

Shore Metal Fabricators LLC (“Company,” “we,” “us”) provides custom sheet metal fabrication and related services, including but not limited to 6K and 5K gutter fabrication, gutter accessories, custom metal components, standing seam, box gutters, pole gutters, downspouts, conductor boxes, scupper boxes, gravel stop cleats, coping system(s), facia, custom ductwork, & and specialty fabrication for contractors and builders.

2. Fabrication Based on Provided Specifications

All fabricated metal products are manufactured strictly in accordance with prints, plans, and measurements provided by the customer/contractor.

  • Accuracy of Information: The customer is solely responsible for providing accurate and complete specifications, including measurements, prints, and/or drawings.

  • No Verification Obligation: Shore Metal Fabricators LLC is not responsible for verifying the accuracy of customer-provided specifications unless expressly agreed to in writing.

3. Fabricated Metal Installation and Guarantees

  • No Installation of Fabricated Metal: Unless specifically stated in writing, Shore Metal Fabricators LLC does not provide installation of these services.

  • No Warranty on Fit/Performance: Fabricated products are supplied as-is based on customer specifications. No guarantee or warranty is provided regarding the fit, functionality, or suitability for a particular use unless otherwise specified in a written agreement.

4. Installation and Guarantees

  • No Installation (Unless Specified): Unless specifically stated in writing, Shore Metal Fabricators LLC does not provide installation services for fabricated metal.

  • No Warranty on Fit/Performance: Fabricated products are supplied as-is based on customer specifications. No guarantee or warranty is provided regarding the fit, functionality, or suitability for a particular use unless otherwise specified in a written and/or verbal agreement.

  • Canning Notice: In sheet metal fabrication, “canning” (also known as oil canning) is a natural and purely aesthetic condition that may appear in flat metal surfaces due to inherent stress during fabrication, handling, or installation. It does not affect the structural integrity, performance, or durability of the product. Therefore, canning is not considered a defect and is not a valid reason for rejection of panels and/or accessories.

  • Color Disclaimer: Colors shown on physical samples, printed materials, or digital displays may vary from the actual finished product. Variations can occur due to manufacturing processes, paint lots, lighting conditions, and natural weathering of materials. These variations are normal in the sheet metal industry and shall not be considered a defect or valid reason for rejection.

  • Manufacturer Warranties: Any manufacturer warranties on raw materials (if applicable) will be passed along to the customer.

5. Gutters & Accessories

  • Fabrication and Installation: Shore Metal Fabricators LLC offers fabrication and installation services for 6K and 5K gutters and related accessories.

  • Guarantee: Installed gutters and accessories provided and installed by Shore Metal Fabricators LLC are backed by a one (1) year workmanship guarantee from the date of completed installation.

  • Exclusions: This guarantee is void if the client or any third-party service provider alters, modifies, repairs, or performs maintenance on the gutters or accessories (except for regular cleaning and debris removal).

  • Limitations: This guarantee covers workmanship only and does not cover damage caused by weather events, accidents, lack of regular cleaning, or structural issues unrelated to our work.

6. Payment Terms

  • Deposits: All work typically requires a deposit of 50% (one-half) of the total estimate to cover materials and accessories, unless otherwise specified in writing.

  • Final Payment: The remaining balance is due upon completion of work unless otherwise specified in writing.

  • Quotes and Estimates: Quotes are valid for [30] days unless otherwise noted.

  • Late Payments: Any outstanding invoice not paid within the agreed-upon terms is subject to up to a 3% late fee per month until paid in full.

7. Delivery, Pickup, and Risk of Loss

  • Pickup: Unless otherwise agreed in writing, all fabricated items are to be picked up at our facility.

  • Delivery: Delivery may be available at an additional fuel/freight charge.

  • Risk of Loss: Risk of loss passes to the customer upon pickup or delivery.

8. Limitation of Liability

To the fullest extent permitted by Delaware law, Shore Metal Fabricators LLC shall not be liable for any indirect, incidental, consequential, or special damages arising from the use of fabricated/installed materials.

Our liability is limited to the replacement or repair of defective materials caused solely by our fabrication process.

9. Compliance with Laws

All services and products provided by Shore Metal Fabricators LLC are subject to applicable federal, state, and local laws and regulations. This agreement shall be governed by and construed under the laws of the State of Delaware.

10. Changes and Cancellations

  • Custom Work: Due to the custom nature of our services, cancellations may be subject to fees covering materials, labor, and overhead costs incurred up to the point of cancellation.

  • Changes: Any changes to specifications after fabrication has started may result in additional costs and delays.

11. Force Majeure

We are not responsible for any delays or failures caused by circumstances beyond our reasonable control, including but not limited to acts of God, labor disputes, or supply chain disruptions.

12. Terms by Service

Certain services (e.g., on-site work, specialized fabrication projects, installation, or consulting) may be subject to additional terms and conditions that will be provided at the time of contracting.

13. Entire Agreement

These Terms and Conditions, together with and/or without any signed written agreements or estimates, constitute the entire agreement between the parties and supersede all prior discussions or representations and are subject to change at any time.
